Welcome to InstaPodz, a platform for users to upload, share, listen to, and interact with podcasts ("Content"). By accessing or using our Platform, you ("User" or "you") agree to be bound by these Terms of Use ("Terms"). If you do not agree to these Terms, you may not access or use the Platform.
1. Acceptance of Terms
These Terms constitute a legally binding agreement between you and Sentric AI Inc. ("we," "us," or "our"). We may modify these Terms from time to time, and we will post the updated Terms on the Platform. Your continued use of the Platform after any such changes constitutes your acceptance of the new Terms.
2. User Accounts
2.1. Account Creation: To access certain features of the Platform, you may need to create an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.
2.2. Account Security: You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized access to or use of your account.
2.3. Account Termination: We reserve the right to suspend or terminate your account at any time for any reason, including, but not limited to, violation of these Terms.
3. User-Generated Content (UGC)
3.1. Content Ownership: You retain ownership of the Content you upload to the Platform. However, by uploading Content, you grant us a non-exclusive, worldwide, royalty-free, sublicensable, transferable license to use, reproduce, distribute, prepare derivative works of, display, and perform the Content in connection with the Platform and our business, including for promotional purposes.
3.2. Content Guidelines: You agree not to upload Content that:
Infringes upon the intellectual property rights of others (e.g., copyright, trademarks, patents).
Is defamatory, libelous, harassing, abusive, threatening, or discriminatory.
Is obscene, pornographic, or sexually explicit.
Promotes illegal activities or violence.
Contains viruses, malware, or other harmful code.
Violates any applicable laws or regulations.
Misrepresents your affiliation with any person or entity.
3.3. Content Moderation: We may, but are not obligated to, monitor, review, and remove Content that violates these Terms or is otherwise objectionable. We reserve the right to make the final determination regarding the appropriateness of Content.
3.4. Representations and Warranties: By uploading Content, you represent and warrant that you have all necessary rights to grant the licenses in these Terms and that your Content complies with these Terms.
4. User Conduct
By using the Platform, you agree not to:
Violate any applicable laws or regulations.
Interfere with or disrupt the operation of the Platform or the servers or networks used to make the Platform available.
Attempt to gain unauthorized access to any portion of the Platform or any other user's account.
Use the Platform for any commercial purposes without our express written consent.
Collect or harvest any personally identifiable information from other users without their consent.
Impersonate any person or entity or falsely state or otherwise misrepresent your affiliation with a person or entity.
5. Intellectual Property
5.1. Our Intellectual Property: The Platform and its original content (excluding UGC), features, and functionality are and will remain the exclusive property of Sentric AI Inc. and its licensors. These are protected by copyright, trademark, and other laws.
5.2. Trademarks: InstaPodz and our logos are trademarks of Sentric AI Inc. You may not use these trademarks without our prior written consent.
6. Third-Party Content and Links
The Platform may contain links to third-party websites or services that are not owned or controlled by us. We have no control over and assume no responsibility for the content, privacy policies, or practices of any third-party websites or services. You acknowledge and agree that we shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with the use of or reliance on any such content, goods, or services available on or through any such third-party websites or services.
7. Disclaimer of Warranties
THE PLATFORM IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. WE DISCLAIM ALL WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING OUT OF COURSE OF DEALING OR USAGE OF TRADE. WE DO NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.
8. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL SENTRIC AI INC, ITS AFFILIATES, DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, SUPPLIERS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES (INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES) ARISING OUT OF OR RELATING TO YOUR ACCESS TO OR USE OF, OR INABILITY TO ACCESS OR USE, THE PLATFORM OR ANY CONTENT THEREON, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STATUTE, OR ANY OTHER LEGAL THEORY, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE PLATFORM SHALL NOT EXCEED THE AMOUNT YOU PAID TO US, IF ANY, IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE LIABILITY, OR ONE HUNDRED U.S. DOLLARS ($100), WHICHEVER IS GREATER.
9. Indemnification
You agree to defend, indemnify, and hold harmless Sentric AI Inc., its affiliates, directors, officers, employees, agents, suppliers, and licensors from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including, but not limited to, attorney's fees) arising from: (i) your use of and access to the Platform; (ii) your violation of these Terms; (iii) your violation of any third-party right, including without limitation any intellectual property right or privacy right; or (iv) any claim that your Content caused damage to a third party.
10. Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of Taiwan(R.O.C.), without regard to its conflict of law provisions. Any legal suit, action, or proceeding arising out of or relating to these Terms or the Platform shall be instituted exclusively in the federal or state courts located in Taiwan(R.O.C.), and you irrevocably submit to the jurisdiction of such courts.
11. Entire Agreement
These Terms constitute the entire agreement between you and us regarding your use of the Platform and supersede all prior and contemporaneous agreements and understandings, whether written or oral.
